抗体补充条款和条件

1. 一般条款。These Antibody Supplemental Terms and Conditions (these “Antibody Supplemental Terms”) apply to our provision, and your use (the Customer), of antibodies that target (i) the extracellular domain (ECD) of the human ACE2 receptor and/or (ii) the SARS-CoV-2 S1 Spike protein (the “Antibody Products”), provided by Twist Bioscience Corporation or its designees (individually, and collectively, referred to in these Antibody Supplemental Terms as “us”, “we”, or “our” or “Twist”). These Antibody Supplemental Terms are included as supplementary terms to the Twist Bioscience Master Supply Agreement (“Terms and Conditions”), available at www.twistbioscience.com/supply-terms-and-conditions and defined therein, and, together with our quotation (if any), and any other applicable additional terms, comprise the agreement (“Agreement”) between you and us for your purchase, and our sale of Antibody Products. 如果这些合同文件之间发生冲突，对于发生冲突的条款，应当以下列优先顺序为准：本《抗体补充条款》、报价单，然后是《条款和条件》。在通过 www.twistbioscience.com 或其他方式从 Twist 订购抗体产品时，自您接收到订购或销售文件，或订购、接收和使用抗体产品，即视为您接受并特此同意受《抗体补充条款》的约束。任何客户提供的采购订单、发票、文件或通信中所包含的任何附加条款均不得约束任何一方或修改《抗体补充条款》。尽管可能有相反规定，我们保留随时更改《抗体补充条款》的权利，并且我们对《抗体补充条款》所做的任何更改应适用于双方之间就更改后我们收到的任何订单达成的协议。本协议中未定义的任何条款应具有《条款和条件》中规定的含义。
2. Products. For clarity, the Antibody Products (as defined herein) shall be considered “Products” as defined in the Terms and Conditions and in addition to these Antibody Supplemental Terms, the Terms and Conditions shall also govern the sale and use of any Antibody Products.
3. 补充条款。尽管《条款和条件》中可能有相反规定，以下补充条款应适用：
   • 抗体产品须符合以下标签许可：“The materials you will receive/have received from Twist Bioscience Corporation (“Materials”) were provided or produced under a license between Twist Bioscience Corporation and Life Technologies Corporation, a part of Thermo Fisher Scientific, Inc., (“Life Technologies”) through the use of Life Technologies proprietary cell lines.  您在材料方面享有的有限且不可转让的唯一权利是您仅出于自身利益使用材料从事内部研究。Pharmacokinetic and toxicology studies required to meet the regulations for filing an IND (“IND-Enabling Studies”), first in human research, and/or first in patient research are expressly excluded from the rights provided. 不授予转售材料或其任何部分或组成部分的权利，无论以明示、暗示或禁止反言的方式。这些材料不可用于商业研究（从 IND 授权研究开始及之后）或任何其他商业目的或任何类型的应用，包括但不限于质量控制和商业服务，例如以收费或其他对价形式来报告活动结果。For information on obtaining additional rights, please contact outlicensing@thermofisher.com or Out Licensing, Life Technologies, 5823 Newton Drive, Carlsbad, California 92008.”
   • 客户应全权负责客户及其附属公司、董事、管理人员、员工和代理商对抗体产品的使用。The Antibody Products have not been approved, cleared, authorized or licensed by the United States Food and Drug Administration (“FDA”) or any other applicable governmental agency, within or outside the United States, for any use. 客户应仅将抗体产品用于其内部研究，不得将抗体产品用于人体治疗或诊断任何疾病，也不得将抗体产品用于任何其他诊断或治疗，用于食品、药品、器械或化妆品的研究，或供人类/动物食用，或应用于人类/动物身上。
   • 除本协议明确规定的情形外，抗体产品应按“原样”提供，不提供任何形式的担保、陈述或保证，Twist Bioscience 对抗体产品或本协议的任何其他标的不作任何明示或暗示的声明和保证，并对此免于承担责任，包括但不限于对适销性、适用于特定用途和不侵权作出的保证，以及对于安全性和通过使用任何产品所得结果的保证，以及法规或法律以其他方式规定或执行过程、交易过程中或商业惯例产生的任何保证。Twist 对上述所有声明和保证均明确免责。在任何情况下，Twist Bioscience 对违反本方案明确规定的任何保证所承担的全部责任，或因本协议产生的或与本协议有关的全部责任，均不得超过所涉产品的购买价格。任何 Twist 网站或营销或传播材料的描述、声明或其他内容对 Twist 均不具有约束力。
4. 定义条款。《抗体补充条款》中未定义的大写术语，应与《条款和条件》中给出的术语具有相同的含义。
5. 没有其他修改；其他条款。除非《抗体补充条款》中明确规定，否则本《条款和条件》应继续完全有效。《抗体补充条款》与《条款和条件》共同构成了双方之间关于本协议标的的完整和排他性协议。除非在第 1 节中另有规定，否则《抗体补充条款》不得修订或修改。《抗体补充条款》及双方对本协议的履行，应依据美国加利福尼亚州法律进行解释，且不考虑任何法律冲突原则。
